Terms of Service
Last updated: September 2026 · Version 2026-09
1. Agreement
By accepting an invitation to NouSynth AIDA and creating an account, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the platform.
Access to the platform is granted exclusively by invitation. There is no self-registration.
2. Service description
NouSynth AIDA is an AI-assisted parametric engineering design platform. It allows users to describe engineering intent in natural language and receive parametric 3D models expressed as executable source code, which can be rendered to standard geometric formats (STL, STEP) and to technical drawings.
3.1 Three things, named
Section 3 turns on a distinction, so we state it before using it.
- “Inputs” — what you give us: descriptions, parameters, sketches, photographs, files you upload and the instructions you type.
- “Exports” — what you take away: the STL, STEP, drawing sheets, documents and data files you download from the platform.
- “Platform Representation” — what our systems make in order to represent your design inside the platform: the parametric source code AIDA writes, the typed parameter set it extracts, previews and thumbnails, the checks and measurements it runs, the transcript of the run that produced it, and the retrieval indexes and embeddings derived from those.
The distinction is not cosmetic. An Export is the deliverable you came here for. A Platform Representation is how our machine thinks about your design, and it is the thing our plans differ over.
3.2 What is yours, on every plan, with no conditions
You own your Inputs.
Your Exports are yours to use without limitation — commercially or otherwise, modified or not, for any lawful purpose. You may manufacture from them, sell them, publish them, and pass them on. We ask no attribution, take no royalty, and impose no field-of-use restriction.
This does not expire, is not conditional on your plan, and is not affected by your contract ending. Before your access ends you may export everything in your workspace in standard formats; what you have exported stays yours whatever happens afterwards.
Nothing in Sections 3.3 to 3.5 takes any of this back. If another clause in these Terms ever appears to, this one wins.
3.3 The Platform Representation is ours
The Platform Representation is generated by NouSynth’s proprietary systems and remains NouSynth’s property. You are licensed to use it inside the platform — to view it, drive its parameters, branch it, build on it and export from it — for as long as your organisation’s contract runs.
We are explicit about this rather than quiet, because it is what makes the cheaper plans cheap, and because the alternative — claiming to hand you the internals while reserving the right to train on them — is the kind of clause that reads well and means nothing.
What this does not do: it does not reach your Inputs, it does not reach your Exports, and it does not give us any claim over the physical parts you make. Section 3.2 governs those.
3.4 What we may do with it depends on your plan’s data tier
Every plan carries a data tier, shown on the plan in Billing. It is one of three values, and this is the whole of what each one permits us to do with the Platform Representation of your designs.
broad — free and heavily discounted plans. We may retain the Platform Representation indefinitely and use it for any purpose. Specifically and without limitation: inspect it, including by eye; run automated evaluation and benchmarking on it; train, fine-tune and evaluate models on it; index it into retrieval corpora; reuse it as the starting point of other work, including work for other customers; and publish it, including as a public example. Publication under this tier may reproduce the Platform Representation substantially as it stands.
standard — the ordinary paid plans. We may inspect, evaluate, benchmark, train on and index the Platform Representation as above. We may not publish it as it stands, and we may not hand it to another customer as it stands. Derived examples shown to other customers are stripped of anything that identifies you or your organisation, and only material that is generic engineering vocabulary — the gears, flanges, brackets and fasteners of the trade — is eligible to become one.
private — sold separately, by arrangement. We may access the Platform Representation only for the technical operation and upkeep of the service: running it, securing it, backing it up, diagnosing a fault, investigating a security incident, and measuring quality in aggregate. It is never used to train or fine-tune a model, never enters a retrieval corpus, never becomes an example shown to anyone else, and is read by a person only where a fault or your own support request requires it.
Under every tier we will not resell, publish or distribute your identifiable designs as standalone products, and no derived example will name you or your organisation or be attributed to you.
Under the broad and standard tiers you may flag an individual design as private. We will remove it from shared example corpora and stop using it for the purposes above; Section 3.5 explains what that reaches.
3.5 Changing tier, and what does not come back
Moving to a more protective tier takes effect for everything from that moment. It removes your material from live retrieval corpora and from future training runs.
It does not reach what is already inside a model we have trained. A trained model is not a filing cabinet; there is no operation that removes one design from it. We say so here rather than promise an erasure we cannot perform.
The rights in this Section survive termination with respect to material already used under the tier that applied at the time. The rights in Section 3.2 survive termination absolutely.
3.6 Third-party material
You warrant that your Inputs do not infringe the intellectual-property rights of any third party and that you are entitled to grant the licences in this Section 3 over any material you upload or describe. The licences you grant do not extend to third-party rights you do not hold; you are responsible for, and will indemnify NouSynth against, claims arising from third-party material contained in your Inputs.
3.7 Community sharing
Publishing is optional and per-part. Nothing you create is published to other organisations unless you choose to publish it. This is a decision you take, and it is independent of your data tier.
When you publish a part to the Community library, you grant every other organisation on the platform a non-exclusive, worldwide, royalty-free licence to view it, download its geometry, take a copy into their own workspace, and modify that copy for their own engineering use. You warrant that you hold the rights necessary to grant this (Section 3.6 applies).
What that licence does not include: it does not permit resale or redistribution of a substantially unmodified copy of your part as a product in its own right.
Withdrawal is always available and takes effect immediately for new copies. It does not reach copies already taken: those are the recipient organisation’s own records, and the licence above continues to apply to them. Publish on that understanding.
NouSynth does not verify, endorse, or warrant community-contributed parts. They are provided by other users as-is, and you are responsible for verifying any part’s fitness before manufacturing from it. Section 6 applies in full.
3.8 The platform
The NouSynth AIDA platform, its software, AI systems, aggregated and anonymised datasets, user interface, trademarks, and all associated intellectual property are owned by NouSynth and are protected by applicable law. Nothing in these Terms grants you any rights in the platform itself.
4. Acceptable use
You agree not to:
- Use the platform for any unlawful purpose or in violation of applicable regulations.
- Attempt to reverse-engineer, scrape, or extract the AI models or source code underlying the platform.
- Attempt to circumvent security controls, access controls, or rate limits.
- Use the platform to generate designs intended to cause harm to persons or infrastructure.
- Share your account credentials with third parties.
5. Data and privacy
Processing of personal data is governed by our Privacy Policy, which forms part of these Terms. As a B2B service, your organisation’s contract with NouSynth constitutes the data processing agreement under GDPR Art. 28.
6. Disclaimers and limitation of liability
The platform and all outputs are provided “as is”. NouSynth makes no warranty that generated designs are fit for any particular purpose, free from errors, or suitable for manufacturing without independent engineering review. You remain the engineer of record for anything you build.
To the maximum extent permitted by applicable law, NouSynth shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform or its outputs.
7. Termination
NouSynth may suspend or terminate your access at any time for breach of these Terms or upon expiry of your organisation’s contract. Upon termination, your right to use the platform ceases immediately; you may export your designs beforehand (Section 3.2). Sections 3.2, 3.4, 3.5, 3.6, 3.7, 4, 5 and 6 survive termination.
8. Governing law
These Terms are governed by the laws of Italy and the European Union. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of Italy.
9. Changes
We may update these Terms. Material changes will be communicated by email and require renewed acceptance at next sign-in. A change that moves your plan to a less protective data tier does not apply to you until you accept it.
10. Contact and language
Questions about these Terms: [email protected].
This document is published in English and Italian. The English text is the authoritative one: where the two differ, the English governs. The law that applies and the courts that hear a dispute are Italian either way.
